Grid builds technologies and services that enable people and organizations to publish and discover property listings, connect with real estate professionals, submit buyer and lease requirements, and make data-driven decisions using analytics and artificial intelligence (AI). These Terms of Service ("Terms") govern your access to and use of the Grid Platform and other products, websites, features, apps, services, technologies, and software we offer in the website, including AI Tools, Buyers/Lease Requirements, Business Intelligence Dashboards, GNA (Grid Network Agent), and Aria, among others (collectively, the "Grid Products" or "Products"), except where we expressly state that separate terms apply. These Products are provided to you by Grid, and these Terms constitute a binding agreement between you and Grid. If you do not agree to these Terms, do not access or use the Products. These Terms make up the entire agreement between you and Grid, and shall supersede and prior agreements. Grid offers free and paid features. Many advanced capabilities (e.g. Business Intelligence, Feasibility, Comparisons, etc.) are available through specific subscription tiers. We do not sell your personal data. We process personal data as described in our Privacy Policy to deliver, secure, and improve the Products and to offer features such as AI-assisted feasibility reports, property comparisons, and personalized discovery of listings and insights. You can review and manage your data and account settings at any time in your account dashboard.

We help you connect with brokers, owners, buyers, and enterprises via listing contact modules, GNA, and requirements/offers workflows. We may suggest profiles or opportunities such as properties matching your criteria, that align with your activity and preferences to strengthen the utility of the ecosystem.
The Grid Platform allows you to upload and/or check out listings, manage inventory, and use AI Tools to generate property teasers, compare properties side-by-side, run your own feasibility study, message via enable channels, and conduct smart site selection. You can submit offers, save searches, and generate reports subject to your subscription tier. We continue to develop new ways to help you present and analyze properties such as enhanced mapping, forms, and Aria conversations.
The Grid Platform surface listings and insights, trend reports, and other commercial content based on your preferences. Where we present sponsored placements or featured inventory, we'll label them appropriately.
We use AI and other advanced technologies to power feasibility studies, property comparisons, smart site selection, business intelligence dashboards, and Aria. We may also use automated systems to improve our services and/or detect and address abuse.
We conduct research, testing, and analysis to develop and improve our Products. See our Privacy Policy for how we use data to support research and improvement.
To operate our services and enable you to connect with people and properties seamlessly, we may transfer, store, and process content and data within our platform and with third party service providers, which may be outside the country.
Grid primarily funds its services through subscription tiers and optional paid features (e.g. advanced BI, feasibility reports, enterprise analytics, enhanced listing tools, etc.). Pricing and entitlements for tiers are disclosed in the Product and may change as our services evolve. The Grid Platform has the following features related to funding:
Payments are processed by third-party providers. You authorize them to charge your selected payment method, and shall abide by their Terms which may be separate from your Terms with us.
Subject to the requirements of law, fees are generally non-refundable unless expressly stated otherwise, in the Refund Policy.
We may suspend access to paid features if your payment fails or if your subscription lapses.
We process personal data as described in our Privacy Policy to facilitate the services above. You can manage certain data and preference controls in your account.

The Grid Platform, and all content, tools, software, and data available in it remain the property of Grid or its licensors. By using the Grid Platform or any of our products or services, you recognize our ownership of all IP to the Grid Platform and any related technology or solution, branding, UI, BI maps, analytics, models, designs, code, and documentations. You may not sell, republish, rent, reproduce, duplicate, copy, modify, resell, or otherwise exploit any portion of the Grid Platform or its content for commercial purposes outside the Platform without or exress written consent.
The Grid Platform integrates with third-party services, including but not limited to payment processors, mapping providers, analytics vendors, cloud hosting providers, and AI-model providers ("Third-Party Services").
Grid does not control, endorse, or assume responsibility for any Third-Party Services, including their availability, accuracy, reliability or compliance with the law. Use of Third-Party Services is at your own risk and may be subject to additional terms imposed by such third parties.
All payments and subscription transactions are processed by third-party providers. Grid disclaims liability for errors, interruptions, unauthorized charges, or other issues arising from payment processing.
By using the Platform, you agree to comply with applicable terms and conditions of all Third-Party Services integrated with Grid.
To keep Grid safe, fair, and compliant, you must not break these rules nor help or induce others to break these rules:
If you believe that a listing or user poses an imminent risk of harm, contact local authorities, then report to us. We may request a copy of the report.
Grid provides a platform and tools. We do not own, control, broker or manage user listings, and are not a party to contracts between users (e.g. owners, buyers, tenants, brokers, enterprises). Grid is not your fiduciary, broker, appraiser, insurer, or legal/financial advisor. Except when specifically stated, Grid is not your agent.
Any negotiation, due diligence, or transaction you engage in is between you and the other party. You are solely responsible for verifying information, obtaining professional advice, and complying with the law.
We disclose total applicable subscription fees and entitlements at check out. All payments shall be processed by an authorized third-party provider. By using this system, you agree to have read and be bound by the terms of such third-party provider which are separate and distinct for these Terms by Grid. Unless otherwise stated, all fees are non-refundable. We reserve the right to change the fees anytime without prior notice. Changes do not reflect completed billing cycles.
You are responsible for determining and satisfying your individual or organizational tax obligations. Where the law requires, we may withhold tax amounts and display it as may be necessary on invoices and receipts.
You are not authorized to solicit or accept fees for the use of the Grid Platform or any specific Grid-paid features on behalf of Grid. However, this does not restrict your lawful off-platform property transactions.
We constantly work to improve our Products and Services by developing new features. As a result, we may update these Terms to promote a better experience for you, a better relationship between us, and/or to comply with law. We will change Terms when provisions are no longer appropriate or incomplete, and only if changes are reasonable, always considering your interests, or as may be required for safety, security or legal compliance. It shall be your responsibility to check these Terms for any update. Your continued access or use of the Grid Platform or any of the Products or Services binds you to these Terms as may be amended from time to time. If you do not agree, you are always free to delete your account and stop using the Products.
We may suspend, limit or terminate accounts, and remove content if we determine at our discretion that you have breached these Terms or our policies, or violated applicable laws, or where necessary to protect users, our systems, or comply with legal orders. We may also disable or delete your account if required for legal reasons or if your account remains unconfirmed or inactive for extended periods, or where we detect unauthorized access and cannot confirm ownership. We may add or remove features, adjust tier entitlements, change data sources, or replace third party providers to improve services, prevent abuse, or comply with the law. We aim to provide notice for material changes that affect paid features. If your account is disabled or deleted, your right to use the Grid Platform and related Products and Services end. These Terms terminate as an agreement except for Sections 3, 4, 6, 8, and any other provisions intended to survive.
The Grid Platform and related Products and Services, including all content (e.g. listings, analytics, maps, AI outputs, etc.) are provided "as is" and "as available". The use of Grid Products and Services would enable you to generate outputs derived from data and algorithms. All outputs are for informational purposes only, and may contain inaccuracies, omissions or assumptions that may not reflect real-world conditions. They are not a substitute for professional financial, legal, tax, or investment advice. You are responsible for independently verifying outputs before relying on them. To the extent permitted by law, we disclaim all warranties (express, implied, statutory), including merchantability, perfection, safety, fitness for a particular purpose, title, correctness, completeness, reliability suitability, and non-infringement of the Grid Platform, its related Products and Services, and their outputs. Users are responsible for all the content they upload, publish or share on the Grid Platform, including property listings, images, descriptions, offers, and communications. We do not control or direct what users or third parties do, and we are not responsible for their actions or content, including unlawful, misleading or objectionable content. We do not warrant uninterrupted operation or accuracy of content or outputs, nor that verification processes (if any) will detect or prevent misconduct. You are responsible for maintaining the confidentiality of your account credentials, and for restricting access to your account. You are fully responsible for all activities that occur under your account, whether or not authorized by you. You must notify Grid immediately if you suspect any unauthorized use of your account or breach of security. We shall not be liable for any loss or damage arising from your failure to comply with these obligations. You acknowledge that property activities and decisions carry inherent risks (commercial, financial, legal, regulatory, market, geospatial, etc.). You assume these risks. You are solely responsible for verifying information, obtaining professional advice, and deciding whether and how to proceed. We are unable to predict every issue that may arise with the use of the Grid Platform, and related Products and Services. Thus, to the fullest extent permitted by law, we will not be liable for lost profits, revenues, goodwill, data or for incidental, special, indirect, exemplary punitive or consequential damages arising out of or related to these Terms or the Platform, related Products and Services, however caused, under any theory including negligence, even if advised of the possibility. Our aggregate liability to you for any claims related to these Terms or the Grid Platform, and related Products and Services is limited to the total fees you paid in the past 12 months before the event giving rise to the liability.
We do not provide, arrange or guarantee insurance coverage for any transaction, property or user activity conducted through the Platform. You are solely responsible for securing and maintaining adequate insurance appropriate for your activities (e.g. property, liability, professional, etc.) You are solely responsible for understanding and complying with all laws, regulations, and contractual obligations that apply to you or your property listings, offers, or transactions, including but not limited to zoning, licensing, registration, anti-money laundering, tax, and consumer protection laws. You acknowledge that we generally do not verify the accuracy, legality, ownership or condition of properties or listings on the Grid Platform. We do not guarantee the performance or reliability of counterparties, and you must conduct your own due diligence and obtain independent professional advice before entering into any property or investmen transaction. By using the Grid Platform, you accept all risks related to real estate and investment activities, including but not limited to market fluctuations, property defects, regulatory issues, financing risks, and performance of counterparties.
To the maximum extent permitted by law, you agree to release, defend at our option, indemnify, and hold harmless Grid, including affiliates and personnel, from and against all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: 1) your breach of these Terms or of supplemental terms and policies; 2) your listings, communications, representations, data or transactions; 3) your misuse of the Grid Platform, or related Products and Services, including AI outputs; 4) your violation of laws or third-party terms or rights, including among others IP and privacy; or 5) tax obligations, fines, penalties, and third party obligations attributable to you.
These Terms are governed by the laws of the Republic of the Philippines. Should we have any dispute involving the Terms of this Agreement, we shall attempt in good faith to resolve our dispute informally before filing any claim in court. Any dispute shall be brought exclusively in the courts of Makati City or Taguig City, and you consent to their jurisdiction. Nothing prevents either party from seeking urgent injunctive relief to protect confidential information, IP, or system security.
Some Products and Services are governed by supplemental terms that become part of our agreement when you use them: Commercial Terms, AI Terms, Payment Terms, Listing and Community Standards, Broker Verification Policy, API/Data Terms, Brand Resources, Security and Vulnerability Disclosures. You may obtain a copy of these terms upon use of the specific Products and Services. If supplemental terms conflict with these Terms, the supplemental terms shall govern for the Product or Service.
If any portion of these Terms is unenforceable, it will be amended to the minimum extent necessary or severed, with the remaining continuing to be in full force and effect.
Our failure to enforce a provision shall not be construed as a waiver.
You may not transfer your rights or obligations without our consent. We may assign our rights or obligations in connection with a merger, acquisition, reorganization, asset sale, by operation of law, or otherwise.
We may use suggestions and feedback from you without a restriction or obligation, and we have no duty or obligation to compensate you should we decide to do so. We shall have no obligation to keep them confidential.
