Every commercial property transaction in the Philippines ultimately rests on a single question: does the person offering the property actually own it, and is that ownership free of the claims, liens, and encumbrances that could unravel the deal months after the money has moved? For office floors in Bonifacio Global City, industrial lots in Laguna, or retail frontage along a provincial highway, the answer lives in one place, the records maintained by the Registry of Deeds under the supervision of the Land Registration Authority (LRA).
Title verification is the least glamorous stage of commercial due diligence and, by a considerable margin, the most consequential. A buyer who skips it or delegates it entirely to the seller's representative is not saving time; they are deferring a risk that compounds. This guide sets out how the Philippine title system works, how to obtain authoritative records from the LRA and the Registry of Deeds, what to read once those records are in hand, and which findings should stop a transaction rather than merely slow it.
Understanding the Torrens System and What a Title Proves
The Philippines operates under the Torrens system of land registration, adopted in the early twentieth century and now governed principally by Presidential Decree No. 1529, the Property Registration Decree. The defining principle of the Torrens system is that the certificate of title is conclusive evidence of ownership. Once land is registered and a certificate issued, the registered owner holds an indefeasible title that cannot generally be defeated by claims outside the register.
This principle is powerful, but it carries a corollary that catches unprepared buyers. Because the register is authoritative, anything annotated on it binds a subsequent purchaser. A mortgage, an adverse claim, a notice of lis pendens, "a right of way," or a lease recorded against the property travels with the land. Buying in good faith does not extinguish a properly annotated encumbrance. The register protects the diligent and offers little to those who did not consult it.
Equally important is what the register does not cover. Boundaries described in the technical description may not match physical occupation on the ground. Informal settlers, unrecorded tenancy arrangements under agrarian legislation, and unregistered easements can exist alongside a clean title. Title verification establishes the legal foundation of a transaction; it does not replace a physical inspection or a relocation survey.
The Three Certificate Types Commercial Buyers Encounter
Philippine registered property is evidenced by one of three certificate types, and identifying which applies determines where and how verification proceeds.
An Original Certificate of Title (OCT) is issued upon the first registration of a parcel of land, typically through judicial confirmation of imperfect title or an administrative grant such as a free patent. Commercial buyers encounter OCTs most often in provincial acquisitions and raw land transactions in developing corridors.
A Transfer Certificate of Title (TCT) is issued for every subsequent transfer after first registration. Most commercial land in urban and peri-urban markets is covered by a TCT. Each transfer cancels the prior certificate and issues a new one, creating a documented chain that can be traced backwards.
A Condominium Certificate of Title (CCT) covers a unit within a condominium project registered under Republic Act No. 4726. Office floors, retail units, and even certain warehouse and industrial developments are frequently held under a CCT rather than a TCT. This distinction matters considerably: a CCT conveys ownership of a defined unit together with an undivided interest in the common areas, and the holder's rights are shaped by the master deed and the condominium corporation's by-laws in addition to the certificate itself.
Why the Owner's Duplicate Certificate Is Not Sufficient
Sellers routinely present the owner's duplicate certificate, the physical copy issued to the registered owner, as proof of title. It is a legitimate document, but it is the wrong document for verification purposes.
The owner's duplicate reflects the state of the register at the moment it was issued or last updated. It can be outdated. It can omit annotations entered afterwards. In cases of fraud, it can be a sophisticated forgery. The document a buyer should rely on is the Certified True Copy (CTC) of the title, drawn directly from the record on file with the Registry of Deeds and bearing the Registry's certification statement, official stamp, dry seal, authorised signature, and date of issuance. Newer certified copies commonly carry a QR code that supports independent verification.
The practical rule for commercial due diligence is straightforward. Obtain the certified true copy independently, in the buyer's own name, dated as close as possible to the intended offer. Compare it line by line against the owner's duplicate the seller has produced. Any discrepancy between the two is a matter to resolve before proceeding, not a clerical detail to overlook.
Requesting a Certified True Copy at the Registry of Deeds
The traditional route is a personal appearance at the Registry of Deeds with jurisdiction over the property. The requester presents the title number, the registered owner's name, and the property location, together with a valid government-issued identification, and pays the assessed fee.
The LRA's Anywhere-to-Anywhere (A2A) service has materially reduced the friction here. Where the relevant Registry has been computerized, a certified true copy can be requested from any computerized Registry of Deeds in the country rather than only from the office where the title is registered. For a Manila-based buyer evaluating industrial land in Batangas or a commercial lot in Pampanga, this removes a full day of travel from the diligence timetable.
Fee levels differ according to where and how the request is made. Published LRA rates place the cost at approximately ₱196.97 for the first two pages when requested at the local Registry of Deeds where the title is registered, and approximately ₱644.97 for the first two pages when requested outside that Registry or through the LRA's online channel, with roughly ₱38.19 for each additional page. These amounts are inclusive of information technology service and network transmission fees. Because the system generates the actual page count for the specific title, the assessment issued by the cashier or the portal is the figure to follow, and published rates are revised periodically.
Using the LRA eSerbisyo Portal
For buyers, brokers, and counsel working across multiple provinces, the LRA's eSerbisyo portal offers a fully remote route. The requester registers an account, identifies the Registry of Deeds location, selects the certificate type, OCT, TCT, or CCT, and enters the title number. Payment is made online, and the published fee for online requests includes delivery to addresses within the Philippines.
Two practical notes apply. First, the portal requires an accurate title number and Registry location; an error in either will return no record or, worse, the wrong record. Confirm these details in writing with the seller before submitting. Second, remote issuance means the buyer will not have the opportunity to raise questions with Registry personnel at the counter. For complex titles carrying multiple annotations or a contested history, an in-person request or an engagement with local counsel remains the better approach.
Reading the Certified True Copy Properly
A certified true copy is a two-sided document, and the second side is where commercial risk usually resides.
The face of the title records the title number, the registered owner or owners, the technical description of the property, the lot and survey plan references, and the area. Each element warrants attention. The registered owner's name must correspond exactly to the party offering the property, including corporate name and civil status. Where the owner is a corporation, verify separately with the Securities and Exchange Commission that the entity exists, is in good standing, and that the signatory holds authority through a board resolution or secretary's certificate. Where the owner is married, spousal consent requirements may apply to the disposition.
The reverse of the title carries the memorandum of encumbrances, the annotations. This is where mortgages, adverse claims, notices of lis pendens signaling pending litigation, attachments, easements, rights of way, long-term leases, restrictions imposed by a subdivision or condominium master deed, and agrarian reform notations appear. Every annotation should be read, dated, and explained. An annotation that has been cancelled will show a corresponding cancellation entry; an annotation without one remains live.
Commercial buyers should treat unexplained annotations as unresolved rather than historical. A mortgage annotated fifteen years ago and never formally cancelled is still a mortgage of record, regardless of what the seller says about having settled the loan.
Cross-Checking Beyond the Certificate
Title verification is necessary but not sufficient. A complete commercial diligence file should also reconcile the certificate against several independent sources.
The latest tax declaration from the local assessor should describe the same property, in the same area, in the name of the same owner. Divergence between the title and the tax declaration frequently signals an unrecorded transfer, a boundary issue, or an administrative error requiring correction before transfer.
Real property tax clearance from the local treasurer confirms that amilyar has been paid to date. Unpaid real property tax constitutes a lien on the property and, in extreme cases, exposes it to tax delinquency sale.
The lot plan and technical description, ideally supported by a relocation survey conducted by a licensed geodetic engineer, confirm that the registered boundaries correspond to what is physically on the ground. For commercial development, where setback requirements, floor area ratios, and buildable area determine project feasibility, this reconciliation is not optional.
Zoning and land classification must be confirmed with the local government unit. A title conveys ownership; it does not confer the right to a particular use. Land classified as agricultural cannot lawfully be developed for commercial purposes without conversion, and land subject to agrarian reform coverage carries a distinct and demanding set of restrictions.
Findings That Should Halt a Transaction
Certain results warrant stopping rather than negotiating. A title that cannot be located in the Registry's records under the number provided is the clearest of these. Discrepancies in area or technical description between the certified copy and the owner's duplicate belong in the same category. So do a notice of lis pendens indicating active litigation over the property, an adverse claim filed by a third party, and any indication that the property falls under agrarian reform coverage in a transaction structured as an ordinary commercial sale.
None of these findings is necessarily fatal to a deal. Each is, however, a matter to be resolved by Philippine counsel before earnest money changes hands rather than after. The cost of a certified true copy and a fortnight of careful reading is trivial against the cost of litigating ownership of a commercial asset.
Building Verification Into the Transaction Timetable
Experienced commercial parties treat title verification as a gating item rather than a parallel workstream. The sequence that works is simple: obtain the certified true copy first, read the annotations, reconcile against the tax declaration and zoning, and only then proceed to valuation, letter of intent, and negotiation of terms. Reversing that order produces the familiar outcome of a deal that collapses at due diligence after both parties have invested weeks of professional time.
For institutional buyers and developers, the discipline extends further. Titles should be re-pulled shortly before closing, because annotations can be entered during the negotiation period. A certified copy dated three months before signing is a snapshot of a situation that may have changed.
Verified ownership is the foundation on which every other commercial property decision rests, valuation, financing, development, and eventual exit. Working from listings where identity and selling authority have already been confirmed at source removes a substantial share of the uncertainty before a buyer commits professional fees to diligence.
