Introduction

Welcome to the Grid platform (hereinafter the “Site”). These Terms and Conditions govern your use and access of the Site. Your continued use confirms your understanding and agreement to these Terms and Conditions.

Access and Use

Access to and use of password-protected and secure areas of the Site are restricted to registered users. Unauthorized access to these areas is prohibited.

Images and information on the Site are either the property of or used with permission by Grid. Unauthorized use of these images may violate copyright laws and other regulations.

Enhancement and Errors

Unless explicitly stated otherwise, any new features that augment or enhance the current Grid shall be subject to these Terms and Conditions. Grid does not warrant, nor represent, nor assume any responsibility for the timeliness, accuracy, reliability, deletion, or misdelivery of information available on or through Grid, or the failure to store any user communications or personalization settings. Grid does not claim that the platform is error-free, virus-free, or free of other harmful components or defects. The user is responsible for obtaining access to Grid, and that access may involve third-party fees.

Your Registration Obligation

You agree to provide the following:

• True, accurate, current, and complete information about yourself or your company or anyone that you represent as prompted by the online member USER ID registration, and
• Maintain and promptly update your registration information to keep it true, accurate, current, and complete.

If you provide any information that is untrue, inaccurate, not current, or incomplete, or Grid has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, Grid has the right to suspend or terminate your account and refuse any and all current or future use of Grid and avail any of its services.

Password and Account Security

You are solely responsible for any loss due to or other fraudulent activities associated with the sharing of your password, user ID, and Grid shall be held free from any liability arising from access or use of the account by a third person, whether such access or use of the third person was with or without authority granted by the user as the holder of the account.

Restrictions on Use

You may download forms from the Site only to be used to transact inside the Grid platform. Content on the Site cannot be sold, republished, rented, reproduced, duplicated, copied, modified, resold, or exploited for commercial purposes. Grid cannot be used in any way that is unlawful, illegal, fraudulent, or harmful or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity. Users cannot distribute, transmit or host, use, or copy any material which consists of any spyware, computer virus, and other malicious software. Users cannot use systematic or automated collection of activities in relation to services to 3rd party partners of Grid or inside the Grid platform without Grid’s express written consent.

Compliance with Applicable Laws

• Hacking or cracking or interference in a computer server or system or information and communication system or any access in order to corrupt, alter, steal or destroy using a computer or other similar information and communication devices, without the knowledge and consent of the owner of the computer or information and communication system, including the introduction of computer viruses and the like, resulting in the corruption, destruction, alteration, theft or loss of electronic data messages or electronic documents shall be punished by a minimum fine of Php 1M and a maximum commensurate to the damage incurred and a mandatory imprisonment of six (6) months to three (3) years. (Section 33 (a) of the Philippine Electronic Commerce Act)
• Piracy in a manner that infringes intellectual property rights, unauthorized copying, reproduction, dissemination or distribution, importation, use, removal, alteration, substitution, modification, storage, uploading, downloading, communication, making available to the public or broadcasting of protected material, electronic signature or copyrighted works including legally protected material is punishable by law.
• Under the Philippine Intellectual Property Code (RA 8293) and the Cybercrime Prevention Act (RA 10175):
  • Piracy and infringement: Unauthorized copying, reproduction, or distribution of copyrighted material can result in fines ranging from PHP 50,000 to PHP 1,500,000 and imprisonment for 1 to 9 years.
  • Introduction of malware: Introducing viruses or similar harmful software to compromise intellectual property can lead to fines from PHP 200,000 to PHP 1,000,000 and imprisonment for 6 to 12 years.
• These Terms and Conditions are governed by the laws of the Republic of the Philippines. Any legal disputes will be settled in the Philippine jurisdiction.

Privacy

Grid may collect and use your personal information as described in our Privacy Policy. We are committed to protecting your privacy and handling your information in accordance with the Data Privacy Act of 2012.

Liability and Disclaimers

Grid is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Site. The Site is provided “as is” without warranties of any kind.

Indemnity

You agree to indemnify and hold Grid and its affiliates harmless from any claims or expenses arising from your use of the Site or breach of these Terms and Conditions.

Notices

You will receive email notifications from Grid for account verification and other purposes.

Right to Restrict Access

Grid may terminate or restrict your access to the Site at any time without notice for any reason.

Severability

If any provision of these Terms and Conditions is deemed unenforceable, the remaining provisions will continue in full force and effect.

Limitation of Liability

Grid and its affiliates are not liable for any loss or injury arising from your use of the Site.

Termination

Grid may terminate these Terms and Conditions and your access to the Site at any time without notice. If you are dissatisfied with the Site, your sole remedy is to discontinue use.
